For me, corporate law is about structuring interests with foresight – and defending them decisively when conflicts arise.
Dr. Thomas Hausbeck advises mid-sized companies, their shareholders and corporate bodies comprehensively on corporate, insolvency and tax law. He supports clients in strategic, transactional and regulatory matters and represents their interests with the same determination when these issues become contentious or escalate into disputes.
As a certified specialist in commercial and corporate law, Dr. Hausbeck focuses in particular on:
- shareholder disputes and corporate litigation,
- disputes with insolvency administrators, especially in connection with insolvency claw-back claims as well as insolvency-related liability of managing directors and shareholders,
- the coordination and management of mass litigation, and
- corporate law matters relating to directors’ and officers’ liability, compliance and corporate governance.
Another key area of his practice is the advising on corporate transactions (Mergers & Acquisitions), with a particular focus on distressed M&A, as well as the ongoing corporate law advice of companies and their management bodies (corporate housekeeping). In addition, Dr. Hausbeck advises on company formations, the drafting and restructuring of articles of association, and succession planning.
He also supports companies in the development and implementation of sustainable business strategies and in complying with regulatory requirements in the area of Environmental, Social and Governance (ESG).
Dr. Hausbeck regularly represents clients in litigation before German courts, coordinates proceedings with an international dimension and acts for foreign clients in disputes in Germany. As a certified specialist in tax law, he is active both in tax litigation and in preventive tax advisory work.
He is a lecturer in corporate law at the Technical University of Munich.
