SKW Schwarz advises cleversoft on takeover of SecondFloor

SKW Schwarz Rechtsanwälte advised RegTech software provider cleversoft on the acquisition of Dutch software specialist SecondFloor and on structuring a roll-over equity investment program. Dutch private equity investor Main Capital Partners was the primary source of funding for the first acquisition in cleversoft’s buy-and-build strategy. cleversoft is aiming at becoming a leading European RegTech provider.

cleversoft group, founded in 2004, is a specialist for electronic compliance solutions for the financial services sector. With offices in Munich, Frankfurt, Nuremberg, Luxemburg and Sofia cleversoft supplies more than 200 customers worldwide with cloud-based software solutions for regulatory requirements in structured financial products (such as according to PRIIP and MiFID II). With over 100 customers in 15 European countries, Amsterdam-based SecondFloor is a market leader in automated regulatory reporting and offers software and service solutions for Solvency II, IFRS 17, FTK, IORP II and disclosure reports.

Strategic investor Main Capital Partners focuses on management buyouts and later-stage growth investments in the software sector in the Benelux, German-speaking and Scandinavian countries.
