SKW Schwarz advises Omega Diagnostics during the takeover of IVD business from Merck and Allergopharma
SKW Schwarz Rechtsanwälte advised Omega Diagnostics Group PLC during the takeover of the in-vitro diagnostics business of Allergopharma Joachim Ganzer KG, which is part of the Merck Group. Omega Diagnostics took over the IVD business as part of an asset deal at a purchase price of approx. 6 million euros. In addition, long-term supply contracts were concluded between Omega Diagnostics and Allergopharma.
Omega Diagnostics with its headquarters in Edinburgh produces in-vitro diagnostic medical devices for use in hospitals, blood banks and laboratories in over 100 countries. The company is listed on the Alternative Investment Market (AIM) of the London Stock Exchange and is financing the acquisition through the placing of new common stocks.
Allergopharma Joachim Ganzer KG, Reinbeck, is a holding company of Merck KGaA. Allergopharma works in the fields of in-vitro and in-vivo allergy diagnostics, specific immune therapy and allergy prevention, from basic research through to the marketable product.
SKW Schwarz was mandated by Omega Diagnostics through the Scottish law firm Brodies LLP, with which SKW Schwarz has been working for many years as part of the international attorney network TerraLex. The transaction is a current example of the successful life science practice of SKW Schwarz, which comprises both ongoing consultancy for life science companies and also transaction support.
