SKW Schwarz Advises on Sale of MTC Micro Tech Components to UK-based ACAL Group

As part of a corporate succession arrangement, SKW Schwarz Rechtsanwälte advised the shareholders of MTC Micro Tech Components GmbH (MTC) and affiliated South Korean EMC Innovation Co. Ltd. (EMCI) on the sale of the two companies to listed Acal plc Group (LON:ACL).

The transaction was made effective on October 4, 2011. The purchase price consists of an upfront cash consideration of EUR 2.4 million and a deferred cash consideration of up to EUR 1.1 million payable in 2013.

Dillingen-based MTC has supplied more than 500 customers in 30 countries since 1992 and, as provider of EMC components, specializes in the protection of electronic circuits and the environment from high-frequency electromagnetic radiation. The company develops, manufactures and sells EMC shielding materials and ESD solutions.
With its South Korean-based affiliate EMCI, the company serves the Asian market from its own manufacturing facility.

SKW Schwarz provided comprehensive legal advice to the shareholders, starting from deal structuring and purchase price negotiations up to and including closing.
